End User License Agreement (EULA)

Risk Matrix Viz (Power BI Custom Visual)

Owner: DATA LOOM PTY LTD

1. License Grant

DATA LOOM PTY LTD (“Licensor”) grants the end user (“Licensee”) a limited, non-exclusive, non-transferable license to use the accompanying Power BI custom visual (“Software”) solely for internal business reporting and data visualization purposes in Microsoft Power BI.

2. Restrictions

Licensee shall not:

Modify, decompile, reverse engineer, or otherwise attempt to derive source code from the Software.
Distribute, sublicense, resell, lease, rent, or otherwise make the Software available to third parties.
Embed the Software in any commercial or proprietary software, SaaS, or internal enterprise tool intended for redistribution or monetization, without express written permission from the Licensor.
Reuse, reproduce, or extract any icons, branding, sample reports, or design elements from the Software or accompanying materials.

All such actions are strictly prohibited unless otherwise agreed in writing with DATA LOOM PTY LTD.

3. Ownership and Intellectual Property

The Software, including all associated intellectual property rights, is and shall remain the exclusive property of DATA LOOM PTY LTD. All rights not expressly granted herein are reserved by the Licensor.

4. Support Services

The Software is provided “as is” without any obligation of support or maintenance.

5. Disclaimer of Warranty

The Software is provided "AS IS", with all faults and without warranty of any kind.
To the maximum extent permitted by applicable law, the Licensor disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the fullest extent permitted under applicable law:

The Licensor shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, or business opportunities, arising out of or related to the use or inability to use the Software.
In no event shall the Licensor's total aggregate liability exceed the amount paid by the Licensee (if any) for the license to the Software.

These limitations apply even if the Licensor was advised of the possibility of such damages.

7. Termination

This license shall remain in effect until terminated.
Licensor may terminate this license at any time upon notice if the Licensee breaches any provision. Upon termination, the Licensee must immediately cease use of the Software and delete all copies.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of laws principles.
Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, whether oral or written, relating to the subject matter herein.
